Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ragex platform, including the API, dashboard, documentation, and related services (collectively, the “Service”) provided by [PLACEHOLDER: Legal entity name] (“Ragex,” “we,” “us,” or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
1. Service Description
Ragex is a managed Retrieval-Augmented Generation (RAG) API platform. The Service allows you to:
- Create knowledge bases and upload documents (PDF, DOCX, TXT, and other supported file types).
- Automatically parse, chunk, embed, and index document content.
- Search your indexed documents using natural language queries via our REST API or dashboard.
- Manage your account, usage, and billing through the dashboard at app.useragex.com.
2. Account Registration
2.1 Eligibility
You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement and that all registration information you provide is accurate and current.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your API keys and password. You must promptly notify us at manmeet@useragex.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.
2.3 API Keys
Your API key grants programmatic access to the Service. Treat it as a secret. Do not embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties. You are responsible for all activity that occurs under your API key.
3. Acceptable Use
You agree not to use the Service to:
- Upload, store, or process content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights.
- Upload documents you do not have the right to process (e.g., copyrighted material without authorization).
- Attempt to gain unauthorized access to any part of the Service, other accounts, or our infrastructure.
- Reverse-engineer, decompile, or disassemble the Service or attempt to extract our proprietary algorithms.
- Resell, sublicense, or redistribute the Service without our written consent.
- Use automated means to scrape, crawl, or extract data from the Service beyond normal API usage.
- Circumvent or attempt to circumvent rate limits, usage quotas, or other technical restrictions.
- Introduce malware, viruses, or other harmful code into the Service.
- Interfere with or disrupt the integrity or performance of the Service.
We reserve the right to suspend or terminate accounts that violate these restrictions, with or without prior notice depending on the severity of the violation.
4. API Usage and Rate Limits
4.1 Plan Limits
Each subscription plan includes defined usage limits for pages processed, search queries, knowledge bases, documents, storage capacity, and API request rate. Current limits are published on our documentation site. We may update plan limits from time to time; material reductions to paid plan limits will be communicated at least 30 days in advance.
4.2 Rate Limiting
API requests are rate-limited on a per-second basis according to your plan tier. Requests exceeding the rate limit will receive an HTTP 429 response. You are expected to implement appropriate retry logic with exponential backoff.
4.3 Overages
If you exceed your plan’s monthly usage limits (pages processed or search queries), additional usage may be metered and billed at overage rates. Overage rates are published on our pricing page. We will not charge overages without providing you visibility into your usage through the dashboard and API.
4.4 Fair Use
We reserve the right to throttle or suspend access for accounts exhibiting usage patterns that are abusive, disproportionate, or harmful to the performance of the Service for other users, even within stated plan limits.
5. Intellectual Property
5.1 Your Content
You retain all ownership rights to the documents, text, and other content you upload to the Service (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to process, store, and index Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or your account.
We do not use Your Content to train machine learning models, share it with other customers, or use it for any purpose other than providing the Service.
5.2 Our Service
The Service, including its software, APIs, algorithms, user interface, documentation, and branding, is owned by Ragex and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
5.3 Feedback
If you provide us with suggestions, feature requests, or other feedback about the Service, you grant us a royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback without obligation to you.
6. Payment Terms
6.1 Free Trial
New accounts receive a free trial with limited usage. Trial accounts are subject to the trial plan limits. We may modify or discontinue the free trial at any time.
6.2 Paid Subscriptions
Paid plans are billed on a monthly or annual basis as selected at the time of purchase. All payments are processed by Dodo Payments, which acts as our Merchant of Record. Dodo Payments handles all payment processing, invoicing, tax collection, and refunds on our behalf.
6.3 Pricing
Current pricing is published on our website. All prices are in USD unless otherwise specified. We reserve the right to change pricing with at least 30 days’ notice. Price changes will not affect your current billing period and will take effect at the start of your next billing cycle.
6.4 Taxes
Because Dodo Payments acts as our Merchant of Record, applicable taxes (including GST, VAT, and sales tax) are calculated and collected by Dodo Payments in accordance with local regulations.
6.5 Refunds
Refund requests are handled in accordance with Dodo Payments’ refund policy. If you are unsatisfied with the Service, contact us at manmeet@useragex.com within 14 days of your initial purchase and we will work with Dodo Payments to process a refund. After 14 days, refunds are at our discretion.
6.6 Cancellation
You may cancel your subscription at any time through the dashboard or by contacting us. Upon cancellation:
- Your subscription will remain active until the end of the current billing period.
- Your account will revert to trial-level limits after the paid period ends.
- Your data (documents, knowledge bases) will be retained for 30 days after downgrade, after which data exceeding trial limits may be removed.
7. Service Availability
7.1 Uptime
We strive to maintain high availability but do not guarantee specific uptime percentages under these Terms. The Service is provided “as is” without an SLA. We may offer separate Service Level Agreements for enterprise customers in the future.
7.2 Maintenance
We may perform scheduled or emergency maintenance that temporarily affects Service availability. Where possible, we will provide advance notice of planned maintenance.
7.3 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively affect existing functionality, we will provide at least 30 days’ notice. This does not apply to changes required for security, legal compliance, or abuse prevention.
8. Data Processing
Your use of the Service involves the processing of data as described in our Privacy Policy, which is incorporated into these Terms by reference.
When you upload documents, they are processed through our pipeline, which may include third-party services for document parsing, text embedding, and semantic reranking. These services process your data solely to return results to us and do not retain your content.

9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF RESULTS.
Specifically, we do not warrant that:
- The Service will be uninterrupted, error-free, or secure at all times.
- Search results will be complete, accurate, or relevant in every case.
- Document parsing will capture 100% of content from all file types.
- The Service will meet your specific requirements or expectations.
RAG-based search is a probabilistic technology. Results depend on document quality, query formulation, and content relevance. You are responsible for evaluating whether the Service is suitable for your use case.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Ragex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.
- Our total aggregate liability for all claims related to the Service shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim, or (b) USD $50.
These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Ragex, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
- The content you upload to or process through the Service.
12. Termination
12.1 By You
You may terminate your account at any time by contacting us at manmeet@useragex.com. Upon termination, your right to use the Service ceases immediately.
12.2 By Us
We may suspend or terminate your account if:
- You breach these Terms.
- Your usage poses a security risk or adversely affects the Service for other users.
- Your account has been inactive for more than 12 consecutive months.
- We are required to do so by law.
Where feasible, we will provide notice and an opportunity to remedy the issue before termination, except in cases of severe violations, security threats, or legal requirements.
12.3 Effect of Termination
Upon termination, we will retain your data for 30 days to allow you to export it. After 30 days, all your documents, knowledge bases, and associated data will be permanently deleted. Provisions of these Terms that by their nature should survive (including Sections 5, 9, 10, 11, and 14) will survive termination.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal proceedings, you agree to contact us at manmeet@useragex.com and attempt to resolve the dispute informally for at least 30 days.
13.2 Governing Law
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
13.3 Jurisdiction
Any disputes arising under these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts in [PLACEHOLDER: City, e.g., “New Delhi” or “Bengaluru”], India.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ragex regarding the Service and supersede any prior agreements.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
Neither party shall be liable for delays or failure to perform obligations due to events beyond reasonable control, including natural disasters, wars, pandemics, government actions, or failures of third-party infrastructure providers.
14.6 Notices
We may send notices to the email address associated with your account. You may send notices to us at manmeet@useragex.com. Notices are deemed received 24 hours after email is sent.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last updated” date at the top of this page.
- Notify you via email at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
